Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Verdora commerce operations platform and related websites, applications, and services (collectively, the "Service"), which is operated by Standard Orchid ("Verdora," "we," "us," or "our"). By accessing or using the Service you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by any policies referenced here, including our Privacy Policy. If you are entering into these Terms on behalf of a company or other organization, you represent that you have authority to bind that entity, and "you" refers to that entity. If you do not agree, do not use the Service.

2. Description of the Service

Verdora is a multi-channel commerce operations platform. It helps businesses manage orders, inventory, point-of-sale activity, and accounting synchronization across the sales channels and back-office tools they use. The Service connects to third-party marketplaces and services on your behalf and keeps operational data — such as stock levels, orders, and fulfillment status — in agreement across those systems. Features and availability may change as the Service evolves.

3. Accounts & Eligibility

You must provide accurate account information and keep it current. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must be capable of forming a binding contract and must use the Service for legitimate business purposes. Notify us promptly of any unauthorized use of your account.

4. Acceptable Use

You agree not to misuse the Service. You will not: (a) use the Service in violation of any applicable law or the terms of any connected third-party service; (b) attempt to gain unauthorized access to the Service or its underlying systems; (c) interfere with or disrupt the integrity or performance of the Service; (d) reverse engineer or resell the Service except as permitted by law; or (e) upload malicious code or use the Service to infringe the rights of others.

5. Third-Party Services & Integrations

The Service connects to third-party marketplaces and services — for example Squarespace, eBay, Etsy, QuickBooks, and Shippo — that you choose to link. When you authorize a connection (typically via OAuth), you instruct and authorize Verdora to access and exchange data with that service on your behalf for the purpose of operating the Service. Verdora acts on your instructions and configuration; it is not responsible for the availability, accuracy, or policies of third-party services. Your use of a connected service is governed by that provider's own terms.

Some plans include a limited number of connected integrations. Additional integrations may require an upgraded plan or paid add-on. Integration capacity is measured by the integrations assigned to your account for the applicable billing period, not only by whether a connection is actively synchronizing at a particular moment. Disabling or disconnecting one integration does not automatically create an immediate right to replace it with another integration during the same paid billing period unless your plan or add-on terms expressly allow it. You may schedule integration changes, cancellations, or replacements to take effect at the end of the applicable billing period.

6. Customer Data & Ownership

As between you and Verdora, you own the business and operational data you provide or that is retrieved from your connected services ("Customer Data"). You grant us a limited license to host, process, and transmit Customer Data solely to provide and support the Service. We do not claim ownership of your Customer Data. Our handling of personal information is described in the Privacy Policy.

7. Fees & Plans

The Service is offered through subscription plans, which may be billed monthly, annually, or on another recurring basis presented at checkout. Plans may include limits such as the number of authorized users, seats, integrations, connected marketplaces, or other features. You are responsible for keeping your account within the limits of your plan or purchasing the applicable upgrade or add-on.

Payments are processed by third-party payment processors. Verdora does not store or manage full credit card numbers or card security codes. By purchasing a subscription or add-on, you authorize the applicable payment processor to charge the payment method you provide for recurring fees, renewals, upgrades, add-ons, taxes, and other amounts due according to the plan terms presented to you. Fees are non-refundable except where required by law or expressly stated. We may change plans and pricing on a prospective basis with reasonable notice.

Unless otherwise stated in an offer, a subscription period begins on the date your subscription is activated and renews on the same calendar day of the applicable monthly or annual period. If an exact calendar day does not exist in a renewal month, renewal may occur on the last day of that month. Access continues through the end of the paid billing period unless suspended or terminated under these Terms.

Free trials, promotional access, or discounted offers may be made available at our discretion and may be limited by account, organization, payment method, or other anti-abuse controls. We are not required to offer a free trial, and demonstration access or product previews do not guarantee continued access without an active subscription.

8. Payment Failure & Suspension

If payment fails, your subscription becomes past due, is canceled, or is otherwise not in good standing, we may immediately disable synchronization and integrations with third-party marketplaces and services. While payment is unresolved, changes you make in Verdora may not be pushed to connected marketplaces, point-of-sale systems, accounting systems, shipping providers, or other external services.

Unless we terminate your account or otherwise notify you, we may continue to allow access to local account features such as viewing and maintaining inventory or product records inside Verdora while external synchronization is disabled. Restoring payment may be required before integrations, synchronization, or other paid features are re-enabled. We are not responsible for marketplace, inventory, order, or listing discrepancies that arise while your integrations are disabled due to nonpayment or account suspension.

9. Disclaimers & Limitation of Liability

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that data synchronized between systems will always be complete or accurate. To the maximum extent permitted by law, Verdora and Standard Orchid will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data, arising out of or related to your use of the Service. Our aggregate liability will not exceed the amounts you paid us for the Service in the twelve months preceding the claim.

10. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or if continued provision of the Service is no longer commercially reasonable. Upon termination, your right to use the Service ends. We will make Customer Data available for export for a reasonable period as described in the Privacy Policy, after which it may be deleted.

11. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and, where appropriate, provide additional notice. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

12. Governing Law

These Terms are governed by the laws of [State/Country], without regard to its conflict of laws rules. The courts located in [State/Country] will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, except where prohibited by applicable law.
